Client Terms of Business
How we work with you once you ask us to quote, place, or service insurance. These terms apply unless a signed agreement says otherwise.
Effective date: September 17, 2026. Pointer Insurance Agency, LLC, doing business as Wirehaired Trust (“Wirehaired Trust,” “we,” “us”). Licensed independent property & casualty insurance agency in Texas and Florida. Houston, Texas · info@pointeriaus.com · (281) 671-0069.
1. Application
These Terms of Business govern the insurance agency services Wirehaired Trust provides to you (“Client”) and apply from the moment you ask us to obtain a quote, place coverage, or service a policy. A signed engagement letter, broker-of-record letter, or fee agreement controls over these terms where they conflict.
2. What we do
We are an independent insurance agent. We represent multiple insurance carriers and, where appropriate, wholesale brokers and surplus-lines markets, and we use that access to identify coverage options for you. Our services include gathering underwriting information, marketing your risk, presenting options, requesting binding from carriers you select, issuing certificates of insurance, and assisting with endorsements, renewals, and claims reporting. We do not underwrite risk, issue policies, or pay claims; carriers do.
3. Your duty of disclosure
Insurance is placed on the information you give us. You must provide complete and accurate information about your business, property, operations, drivers, employees, claims history, and any change in them during the policy period. We rely on your information without independent verification and are not responsible for coverage gaps, declined applications, rescissions, or denied claims that result from information that was inaccurate, incomplete, or not updated. Review every application, binder, and policy we send you and tell us within ten (10) days if anything is wrong.
4. Quotations, proposals, and summaries
Quotes and proposals are indications subject to carrier underwriting and acceptance; premium, terms, and availability can change until the carrier binds. Coverage summaries, comparison tables, and proposal documents we prepare are for your convenience only. They are not policies and do not alter the terms of any policy. The policy, endorsements, and binder issued by the carrier are the only documents that define your coverage.
5. Binding coverage
Coverage is bound only when a carrier issues a written binder or policy. We will not confirm coverage verbally, by text, or by email as a substitute for a binder. Where a carrier has given us binding authority, we will tell you in writing when coverage is bound and on what terms. Unless you instruct us otherwise in writing, we will not cancel or allow existing coverage to lapse until replacement coverage is bound.
6. Choice of carrier and carrier solvency
We have no obligation to place coverage with any particular carrier. Where we recommend a carrier we do so based on the information available to us, including financial-strength ratings, but we do not guarantee any carrier’s solvency or its willingness or ability to pay claims. You may ask us at any time which carriers we approached and what each offered.
7. Surplus lines
Some risks can only be placed with non-admitted (surplus-lines) insurers. Surplus-lines carriers are not regulated in the same way as admitted carriers, their rates and forms are not approved by the state, and their policies are not protected by the Texas or Florida insurance guaranty associations if the carrier becomes insolvent. Surplus-lines premium tax, stamping fees, and any policy or inspection fees are your responsibility and will be shown on the invoice. Texas and Florida require a diligent search of the admitted market before a surplus-lines placement; you agree that we may make that determination based on your risk characteristics.
8. Premiums, fees, and payment
You are responsible for paying premiums, taxes, and fees by the due date shown on the carrier’s or our invoice. Late or non-payment may result in cancellation by the carrier without further notice from us. Where premium is paid through a premium finance company, that company’s agreement governs its terms. Agency fees, where charged, are disclosed in writing before you incur them and are earned when the service is performed. Commissions paid to us by carriers are fully earned when coverage is bound and are not refundable to you on mid-term cancellation except as required by law.
9. How we are compensated
Our compensation is described in our Compensation Disclosure, which is part of these terms. In summary: we are paid commission by carriers as a percentage of premium; we may also receive contingent or supplemental compensation from carriers based on the overall book of business we place with them; and we may charge you a fee where disclosed in advance. Ask us at any time about the compensation we expect to receive on your account.
10. Certificates of insurance
We issue certificates of insurance that accurately reflect the policies in force. A certificate is informational; it confers no rights and does not amend the policy. We will not issue a certificate representing coverage, limits, or additional-insured status that the policy does not actually provide. If a contract you are signing requires terms your policy does not contain, tell us before you sign so we can request the endorsement.
11. Claims
Report claims and incidents that may give rise to a claim directly to your carrier as required by your policy, then notify us so we can assist. We will help you report, will advocate for you with the carrier, and will explain the process, but we do not adjust claims, decide coverage, or guarantee any outcome. Late notice to a carrier can prejudice a claim; do not wait for us to report on your behalf unless we have agreed to do so in writing.
12. No professional advice; no fiduciary duty
Our services are insurance agency services. We do not provide legal, tax, accounting, engineering, actuarial, or risk-management consulting advice, and nothing we say should be relied on as such. We do not act as your fiduciary. We will act in good faith and with reasonable care, and we owe you the duties Texas and Florida law impose on a licensed insurance agent; we disclaim any broader or special duty.
13. Coverage adequacy
Deciding what limits and coverages to buy is your decision. We will explain options and consequences when asked, but we do not represent that any program is adequate for every loss you might suffer, and we are not responsible for programs placed by another agent or broker.
14. Confidentiality and data
We hold the non-public personal and business information you give us in confidence and use it only to provide insurance services, as described in our Privacy Policy, which is incorporated into these terms. We share it with carriers, wholesalers, premium finance companies, and inspection or loss-control vendors as necessary to serve you, and as required by law. We do not sell it. Information you provide is retained as required by Texas and Florida insurance-records rules; inquiry data that does not result in a policy is deleted within twenty-four (24) months.
15. Electronic communications
You consent to receive proposals, binders, policies, endorsements, invoices, and notices electronically at the email address you provide, and agree that electronic signatures and records are valid. Keep your contact details current with us. Time-sensitive notices (non-renewal, cancellation) may also be sent by the carrier by mail; read carrier mail promptly.
16. Limitation of liability
To the fullest extent permitted by law, the total liability of Pointer Insurance Agency, LLC, its members, employees, and agents for any claim arising out of our services, whether in contract, tort, negligence, or otherwise, will not exceed the greater of (a) the commissions and fees we actually received on the policy giving rise to the claim during the twelve (12) months before the claim arose, or (b) ten thousand dollars (US$10,000). Neither party is liable to the other for indirect, incidental, consequential, special, or punitive damages, or for lost profits or revenue. These limits do not apply to fraud, willful misconduct, or gross negligence, or where Texas law prohibits limitation. Any claim against us must be brought within two (2) years of the act or omission giving rise to it.
17. Term and termination
Either of us may end this relationship at any time by written notice. Termination does not affect coverage already bound, premiums already due, or commissions already earned. If you appoint another agent by broker-of-record letter, our services on the affected policies end on the effective date of that letter, and we will cooperate in transferring records the law allows us to transfer.
18. Complaints and regulators
If you are unhappy with our service, contact us first at the address above and we will respond within ten (10) business days. You may also contact the Texas Department of Insurance (tdi.texas.gov, 1-800-252-3439) or the Florida Department of Financial Services, Division of Consumer Services (myfloridacfo.com, 1-877-693-5236).
19. Governing law and disputes
These terms are governed by Texas law. The parties will attempt in good faith to resolve any dispute for thirty (30) days after written notice. Any unresolved dispute will be brought exclusively in the state or federal courts sitting in Harris County, Texas. Each party waives any right to participate in a class or representative action. The prevailing party may recover reasonable attorneys’ fees and costs.
20. General
These terms, together with the Compensation Disclosure and Privacy Policy, are the entire agreement regarding our services unless a signed agreement provides otherwise. If any provision is unenforceable the remainder stands. No waiver is effective unless in writing. We may update these terms by posting a revised version; the version in effect when a service is requested governs that service.
These terms describe the agency relationship in plain English and do not replace your policy, binder, application, or any signed agreement. They are not legal advice; consult your own attorney with questions.
